The undersigned contributor (“Contributor”) has agreed to contribute one or more images and/or one or more written compositions (the “Material”) to Silver Moon Photography (“Silver Moon”) for consideration for inclusion in a book of images accompanied by related text from various contributors to be compiled by Silver Moon and published electronically and/or in book form (the Thousand Words Project) (hereafter the “Project”). The Contributor agrees to grant to Silver Moon a non-exclusive, irrevocable, worldwide right and license to use, edit, reproduce, publish and distribute the Material, in whole or in part, in connection with the Project and in the final compilation produced at the completion of the Project (“Final Work”) and all versions and editions of the Final Work including without limitation any derivative works based on or incorporating the Final Work, and/or any elements of it, in all media throughout the world, and to authorize others to do so. The Contributor hereby provides consent for Silver Moon to use, publish or otherwise disseminate the Material, in whole or in part, in multiple media, repeatedly, without payment or compensation to the Contributor, and to authorize others to do so. This license shall continue for the duration of all applicable copyrights in the Project. Silver Moon agrees that all Material submitted by the Contributor that is used, in whole or in part, in the Final Work will be attributed to the Contributor by name in the Final Work. This attribution shall be deemed full and complete consideration for all rights granted by this Agreement. The Contributor also grants to Silver Moon a non-exclusive, irrevocable, worldwide right and license to use, and to authorize others to use, edit, reproduce, publish and distribute the Material, in whole or in part, without credit, compensation or attribution, in marketing, advertising, and/or promotional materials (including but not limited to printed materials, advertisements, electronic media, apparel and products) relating to the Project. If the Contributor provides Silver Moon with a photograph or an image, the Contributor can watermark the image or mark the image with a tag in the bottom corner in a legible font that is limited to the Contributor’s name and the year of creation. This license shall continue for the duration of all applicable copyrights in the Project. The Contributor represents and warrants that he or she (a) is the creator and sole owner of the Material and that the Material is his or her original work, except for pre-existing material that is in the public domain; (b) has the power and authority to make and perform this Agreement; and (c) has the legal right to contribute the Material for use in connection with the Project and/or the Final Work, and the contribution of the Material does not violate the rights of others or violate any laws prohibiting copyright infringement, defamation, misuse of trade secrets, invasion of privacy or other laws. The Contributor indemnifies Silver Moon and its agents and holds them harmless against any liability, loss or cost arising out of any breach of these warranties and representations. Silver Moon does not have any obligation to include the Material in the Final Work, and if the Material is not included in the first U.S. print edition of the Final Work, the parties agree and acknowledge that this Agreement will automatically terminate, and the rights in the Material that the Contributor has granted to Silver Moon under this Agreement will revert to the Contributor. The Contributor and Silver Moon acknowledge and agree that all rights other than those specifically granted by this Agreement are reserved by the Contributor, including without limitation, ownership of the copyright in the Material. This Agreement is made under California law that applies to contracts made and performed by California residents. Any action to enforce this Agreement must be brought in the U.S. District Court in San Francisco, California or in the Superior Court for the County of San Francisco, California, and the Contributor agrees to the jurisdiction and venue of these courts. If any provision of this Agreement is found to be unenforceable, the other provisions will continue in effect. This Agreement may only be modified by a written amendment, signed by the Contributor and Silver Moon. This Agreement constitutes the entire Agreement concerning the Material, the Final Work and the Project and supersedes any prior written or oral understandings or agreements.This Agreement is effective as of the last date it is agreed to by both parties. Electronic or scanned signatures are considered effective as an original signature.
